BUSINESS LAW
Designed for students interested in business law, the objective of this area of concentration is to allow students to develop knowledge and expertise in business law and policy. Students who complete the Area of Concentration: Business Law within the LL.B. program will have the notation Area of Concentration: Business Law” included on their transcripts. In order to receive the designation on his or her transcript, a student must inform the Director of the area of concentration by the end of the add-drop period of the spring semester in third year of his or her intention to complete the program. It is envisioned, however, that students would preliminarily declare their interest to the Director before the end of the fall term add-drop period of second year. Students will be given no registration priority in respect of the courses in the Area of Concentration: Business Law and must bid sufficient points to gain entry into the appropriate classes. There is no limit on the number of students eligible for this area of concentration.
All students in the Area of Concentration: Business Law are required to complete a research paper in the area that meets the criteria for the standard writing requirement necessary for graduation. The topic of the research paper must be approved by the Director. This research paper need not be in addition to the standard writing requirement.
Students may, with the approval of both Directors, complete a single paper that satisfies the writing requirements in two areas of concentration, but the paper must be worth at least 3 credits; it cannot, therefore, be worth only 50% of a 4-credit course.
In addition to these requirements, all students in the Area of Concentration: Business Law are required to complete the following courses:
Module One: Mandatory Courses
All of the following: 403. Corporate Law -- 4 credits 438. Income Taxation -- 4 credits 436. Securities Regulation -- 3 credits 456. Taxation of Corporations and Shareholders -- 4 credits Note: Students are encouraged to take Corporate Law in the first term of second year.
Module Two: Commercial and Insolvency Law
One of the following: 325. Bankruptcy and Insolvency Law -- 3 credits 402. Commercial Law -- 4 credits 326. Corporate Reorganizations -- 3 credits ---- MBA course (approved by the Director of the area of concentration) -- ? credits ---- January Term/Special Topic Course (approved by the Director of the area of concentration) -- 4 credits
Module Three: Business Law Electives
